1. Agreement to terms

By accessing or using Momentra ("the Service"), you agree to be bound by these Terms of Service. If you don't agree, please don't use the Service.

2. Description of Service

Momentra provides AI-powered sales call coaching. You upload audio or video recordings of sales calls, and we provide transcriptions, analysis, and coaching feedback.

3. Your account

You're responsible for maintaining the security of your account credentials. You're responsible for all activity under your account. Notify us immediately if you suspect unauthorised access.

4. Acceptable use

You agree not to:

Upload recordings without proper consent from all participants
Upload content that violates any law, regulation, or third-party rights
Use the Service for illegal purposes
Attempt to gain unauthorised access to the Service or related systems
Reverse engineer, decompile, or disassemble any part of the Service
Resell or redistribute the Service without our permission

5. Recording consent

You are responsible for obtaining consent to record and process sales calls. Laws regarding recording consent vary by jurisdiction. It is your responsibility to:

Understand and comply with applicable recording consent laws
Obtain appropriate consent from all parties before recording
Only upload recordings where you have the legal right to do so

Momentra is not responsible for your compliance with recording laws.

6. Intellectual property

Your content

You retain ownership of all recordings you upload. By uploading content, you grant us a limited licence to process, store, and display it as necessary to provide the Service.

Our content

The Service, including the Momentra Framework, software, design, and branding, is owned by Momentra Ltd and protected by intellectual property laws.

7. Payment and billing

Subscription fees are billed in advance on a monthly or annual basis
Prices are in GBP and exclude VAT where applicable
You can cancel anytime; access continues until the end of the billing period
We don't offer refunds for partial billing periods
We may change prices with 30 days' notice; changes apply at your next renewal

8. Usage limits

Each plan includes a monthly call limit. Calls are counted when analysis completes successfully. Limits reset at the start of each billing cycle.

9. Availability and support

We strive to maintain high availability but don't guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Support is provided via email.

10. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind. We don't guarantee:

Accuracy of transcriptions or analyses
That the Service will meet your specific requirements
Uninterrupted or error-free operation

The Service provides coaching feedback, not professional advice. You should not rely solely on Momentra's analysis for business decisions.

11. Limitation of liability

To the maximum extent permitted by law, Momentra's total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

12. Indemnification

You agree to indemnify Momentra against claims arising from your use of the Service, your content, or your violation of these terms.

13. Termination

We may suspend or terminate your access if you violate these terms. You may close your account at any time from your settings. Upon termination, your data will be deleted per our Privacy Policy.

14. Changes to terms

We may update these terms from time to time. Material changes will be notified via email or in-app notification. Continued use after changes constitutes acceptance.

15. Governing law

These terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
